Capgemini Completes Acquisition of WNS, Creating a Global Leader in Agentic AI-Powered Intelligent Operations



Paris, October 17, 2025 — In a major move that reshapes the digital transformation and business process services landscape, Capgemini (Euronext Paris: CAP) has officially completed the acquisition of WNS (NYSE: WNS). A $3.3 Billion Strategic Acquisition

Capgemini finalized the deal with a cash consideration of $76.50 per WNS share, valuing the total transaction at approximately $3.3 billion, excluding WNS’s net financial debt. The acquisition was financed through a €4 billion bond issuance, which replaced the bridge loan originally signed for the deal.

Effective October 17, 2025, WNS will be fully consolidated into Capgemini’s financial statements — signaling a unified approach to scaling AI-driven operations globally.
